Jazz Pharmaceuticals (JAZZ) Deepens Its Rare Epilepsy Pipeline with Actio Biosciences Acquisition

Jazz Pharmaceuticals (JAZZ) announced an agreement to acquire privately held Actio Biosciences for $820 million upfront, plus up to $500 million in potential approval and sales milestones.

The centerpiece of the transaction is ABS-1230, an investigational oral small-molecule inhibitor of the KCNT1 ion channel being developed for KCNT1-related epilepsy—a rare, severe genetic form of developmental and epileptic encephalopathy with an estimated ~2,500 patients in the U.S. and no specifically approved therapy.

KCNT1 gain-of-function mutations can cause severe epilepsy beginning early in childhood. ABS-1230 is designed to selectively inhibit the abnormal KCNT1 ion-channel activity underlying the disease.

Jazz reports that an early clinical study of ABS-1230 demonstrated meaningful seizure reductions in children with KCNT1-related epilepsy. More clinical evidence will be needed to establish efficacy and safety.

Jazz already has significant expertise and commercial infrastructure in rare epilepsy through Epidiolex/Epidyolex. ABS-1230 potentially adds a genetically targeted therapy to that established neuroscience franchise.

ABS-1230 has been accepted into the FDA's Rare Disease Evidence Principles (RDEP) program, which is designed to help address evidence-generation challenges in certain ultra-rare diseases. Participation does not constitute FDA approval.

Jazz also sees an opportunity to evaluate ABS-1230 in additional genetic epilepsies, creating potential upside beyond the initial ~2,500-patient U.S. KCNT1+ population.

One interesting aspect of the transaction: Jazz isn't acquiring all of Actio's pipeline. ABS-0871 and certain other programs will be spun into a separately financed private company, with Jazz retaining a minority interest.
